1. Scope and Agreement
These Terms of Service ("Terms") govern the use of the OmniX Synergy website (the "Site"). The provision of our professional services—including but not limited to the design, development, and integration of custom software—is governed by a separate Master Service Agreement ("MSA") and one or more Statements of Work ("SOW") executed between OmniX Synergy and our clients. By accessing our Site, you agree to these Terms.
2. Use of the Site
The content on this Site, including information about our services, is provided for informational purposes only. You agree to use the Site for lawful purposes and in a manner that does not infringe upon the rights of, or restrict the use of, this Site by any third party. You may not use the Site to transmit any material that is illegal, defamatory, or offensive.
3. Intellectual Property
All content on this Site, including text, graphics, logos, and the OmniX Synergy name and brand marks, is the exclusive property of OmniX Synergy and is protected by intellectual property laws. The intellectual property rights for all custom software, code, and other deliverables created during a client engagement ("Work Product") are explicitly defined in the applicable MSA and SOW. Unless otherwise stipulated in a client agreement, OmniX Synergy retains ownership of its pre-existing and underlying technologies, frameworks, and know-how.
4. Disclaimer of Warranties
The information on this Site is provided on an "as is" and "as available" basis without any warranties, express or implied. OmniX Synergy does not warrant that the Site will be error-free or uninterrupted. Specific warranties, service level agreements (SLAs), and representations regarding our professional services and the software we develop are detailed exclusively in the MSA and SOW executed with our clients.
5. Limitation of Liability
OmniX Synergy will not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use this Site. Our liability for any and all claims related to our professional services is strictly limited to the extent outlined in the MSA signed with the respective client. We are not liable for matters beyond our reasonable control.
6. Governing Law
These Terms and any dispute arising from the use of the Site shall be governed by the laws of the jurisdiction in which OmniX Synergy is legally domiciled, without regard to its conflict of law provisions. All legal matters related to client engagements will be governed by the jurisdiction specified in the applicable MSA.
